Jeffrey E. Kopiwoda

Jeff rejoined FVLD in 2011 after nearly seven years as the global head of legal affairs for an international group of financial services companies. In private practice, Jeff’s role is often that of an outside corporate counsel, focused on adding value by prioritizing his clients’ ultimate business goals over legal convention. With his background in enterprise organization, international transactions, mergers and acquisitions, intellectual property, employment, contracts, real estate, securities and financial services, Jeff is uniquely positioned to service client needs from formation through exit.

As a general counsel in the financial services industry, Jeff’s experience covered registration, regulation and operations of Broker Dealers, Registered Investment Advisors, Introducing Brokers, Commodity Trading Advisors, Commodity Pool Operators and Futures Commission Merchants in the United States. While living in Monte Carlo, Jeff worked on foreign entity formations, multinational transactions and cross-border dispute resolutions. Jeff has registered or advised regulated financial services companies conducting business in Australia, Austria, Brazil, Canada, the Caribbean, Dubai, France, Germany, Hong Kong, Italy, Japan, Luxembourg, the Netherlands, Poland, Singapore, Sweden, Switzerland, Uruguay, the United Kingdom and the United States. He is experienced in public and private fund formation both domestically and abroad and has formed international holding structures for private companies and international feeder fund structures for investment funds. Jeff also assists international clients in establishing and managing U.S. operations.

Jeff has advised software providers in connection with development, maintenance, licensing and sales transactions as well as trade secret, copyright and other intellectual property matters. He has resolved numerous trademark, service mark and domain name disputes. Jeff has represented clients in litigation involving claims for breach of contract and fiduciary duty, corporate dissolution, consumer and securities fraud, commercial real estate matters, employment discrimination and defamation as well as in arbitrations before FINRA and the NFA.

Jeff studied international law in Rome, Italy, through Loyola University and taught Legal Drafting as an adjunct professor of law at Chicago Kent. He is admitted to the Illinois Supreme Court and U.S. District Court for the Northern District of Illinois.

Jeff is married and has two sons. His interests include running, cycling and alpine skiing.
